This English version is provided for convenience only. In the event of any discrepancy between this translation and the Spanish version of this Legal Notice, the Spanish version shall prevail.
1. Website ownership
KIMETAI LABS, S.L. (hereinafter, "Kimetai") is the owner of the website accessible through the domain name kimetai.com and its subdomains (hereinafter, the "Website"). In compliance with Article 10 of Spanish Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSI-CE), the following identification details are provided:
- Company name: Kimetai Labs, S.L.
- Tax ID (N.I.F.): B93911741.
- Registered office: Calle Manuel Tovar, 42, 2ª Planta, 28034 Madrid (Spain).
- Contact email address: info@kimetai.com.
The domain name through which the user (hereinafter, the "User") accesses the Website is owned by Kimetai. Said domain name may not be used in connection with other content, products or services that are not owned by Kimetai, nor in any manner that may cause confusion among end users or discredit Kimetai.
2. Purpose
This Legal Notice sets out the general conditions governing access to, browsing of, and use of the Website and the content comprising it, without prejudice to Kimetai's right to establish particular conditions governing the use, provision or contracting of the products or services that may be offered through the Website or through any other channel.
Access to and browsing of the Website confer on any person doing so the status of User and imply full and unreserved acceptance of this Legal Notice in the version published at the time of access. If the User does not agree with its content, the User must refrain from using the Website.
Where the use, provision or contracting of products or services is offered through the Website, their use or request by the User shall likewise imply acceptance of the particular conditions established for that purpose, which shall form an integral part of this Legal Notice insofar as they do not contradict it.
Kimetai reserves the right to modify, suspend or interrupt, temporarily or permanently, at any time and without prior notice, access to the Website, as well as its configuration, features, content and services, in particular for reasons of maintenance, repair, updating, improvement or adaptation to technical, operational, business or legal changes, without this giving rise to any right to compensation in favour of the User.
3. Intended audience: business and professional use only (B2B)
The Website, as well as the Kimetai platform products and services described therein, are directed solely and exclusively at companies, professionals and entities acting within the scope of their business or professional activity. The Website is not directed at consumers or end users within the meaning of Spanish Royal Legislative Decree 1/2007, of 16 November, approving the consolidated text of the General Law for the Protection of Consumers and Users.
By using the Website, completing any of its forms, or requesting information, a demo or access to the platform, the User represents and warrants that they are acting within the scope of a business or professional activity and in the name and on behalf of the company or entity they indicate, holding sufficient power or authorisation to do so.
4. Access to and use of the Website
Access to the Website by Users is free of charge. However, the use, provision or contracting of Kimetai's products or services may be subject to the prior completion of forms, the successful completion of evaluation and admission processes, and the prior acceptance of the particular conditions that may apply.
Mere access to the Website does not, in itself, establish any kind of commercial link or relationship between Kimetai and the User.
The User undertakes to make diligent, correct and lawful use of the Website and its content, in accordance with applicable law, morality, good customs and public order, as well as with the provisions of this Legal Notice, refraining in particular from using the content for purposes contrary to those authorised herein, from damaging, disabling or overloading the Website, or from preventing, in any way, its normal use or enjoyment.
If the User must register in order to use or contract any product or service, the User shall be responsible for providing truthful, accurate and lawful information and for keeping it up to date. If, as a result of registration, the User is provided with access credentials, the User undertakes to use them diligently, to keep them secret and not to assign their use to third parties. The User shall immediately notify Kimetai of any event that may allow the improper use of their identifiers or passwords, such as theft, loss or unauthorised access, so that they can be cancelled immediately. Until such events are reported, Kimetai shall be exempt from any liability arising from the improper use of said identifiers or passwords by unauthorised third parties.
5. Informative nature of the content: invitation to treat
The information published on the Website concerning Kimetai's products and services — including descriptions of features, integrations, plans, prices and service levels — is exclusively informative and promotional in nature and constitutes an invitation to submit contracting requests (invitatio ad offerendum); under no circumstances may it be considered a binding contractual offer.
The contracting of Kimetai's products and services is concluded solely and exclusively upon Kimetai's express written acceptance of each request, and in accordance with the particular conditions agreed in the corresponding contract or service order.
During the platform's early access phase, Kimetai onboards customers progressively. Accordingly, Kimetai expressly reserves the right to accept, prioritise, postpone or reject, at its sole discretion, requests for access, demos or contracting received through the Website, based on, among other criteria, the status of the platform's integrations and features and the onboarding capacity available, without the submission of a request creating any right in favour of the applicant.
6. Prices
The prices and plans published on the Website are expressed in euros (EUR) and do not include Value Added Tax (VAT) or any other applicable taxes, duties or surcharges, which shall be added, where applicable, at the rate in force at the time of invoicing. The prices are directed exclusively at companies and professionals, in accordance with clause 3.
The published prices reflect the platform's rates in force on the date of publication and shall be confirmed, for each customer, at the time the corresponding contract is formalised. Kimetai may revise the published prices and the composition of the plans at any time prior to such formalisation, without this affecting the prices agreed in contracts already signed, which shall be governed by their own terms.
Unless expressly stated otherwise, all plans are billed on a monthly basis. Particular economic conditions — including discounts, minimum commitment periods, add-ons or custom configurations — shall be those agreed in each contract.
7. Platform status: early access
The Kimetai platform is in an early access phase. The features, integrations, characteristics and capabilities described on the Website reflect both capabilities that are already available and elements of the product roadmap towards general availability, the activation of which may occur progressively. Kimetai does not guarantee that all the features described will be available at any given time, nor that their final implementation will exactly match the published description.
The service levels (SLAs), availability commitments, support and data retention mentioned on the Website are descriptive of the plans and shall only be enforceable under the terms, to the extent and from the time expressly agreed in the contract signed with each customer.
References to third-party brands, platforms or technologies (such as orchestration platforms, artificial intelligence model providers or business applications) identify integration targets or technologies with which the platform interoperates or plans to interoperate, and do not imply sponsorship, association or endorsement by their respective owners.
8. Disclaimer of warranties and limitation of liability
The Website and its content are provided "as is". Access to, browsing of and use of the Website are carried out under the User's sole and exclusive responsibility.
Kimetai shall not be liable and, to the maximum extent permitted by applicable law, disclaims any warranties, express or implied, regarding the accuracy, reliability, completeness or currency of the content, services, links or other elements included on the Website. In particular, Kimetai does not guarantee and shall not be liable for:
- The continuous and uninterrupted availability of the Website or its technical continuity.
- The existence of interruptions or errors in access to the Website, or technical problems or failures occurring during the Internet connection.
- The absence of errors in the content, or the absence of viruses or other harmful components on the Website or on the server supplying it.
- The invulnerability of the Website or the impregnability of the security measures adopted therein.
- Damage or harm caused, to themselves or to a third party, by any person who breaches the conditions, rules and instructions established by Kimetai on the Website, or who breaches its security systems.
- Incidents on the Internet network or any other circumstance of force majeure or beyond its control.
- Loss of profits, revenue or data, business interruption, or indirect, special or consequential damages arising from the use of the Website.
The content of the Website relating to regulatory frameworks (such as GDPR, NIS2, DORA, the Artificial Intelligence Act, VeriFactu or others) is exclusively informative and educational in nature, does not constitute legal advice and does not replace the specific analysis that each organisation must carry out with its own advisers. Kimetai assumes no liability for decisions taken by the User on the basis of such information.
9. Intellectual and industrial property rights
Kimetai is the owner of, or holds the corresponding licence over, the exploitation rights in respect of the intellectual and industrial property of the Website and the content available through it, including, by way of example and without limitation, texts, graphic designs, illustrations, source code, software, interfaces, photographs, videos, databases, trademarks, logos, distinctive signs and information (hereinafter, the "Content").
In particular, "Kimetai" is a European Union trade mark applied for by Kimetai Labs, S.L. (EUTM No. 019407299). References to names, registered or unregistered trademarks, logos or other distinctive signs, whether owned by Kimetai or by third parties, carry an implicit prohibition on their use without the consent of Kimetai or their legitimate owners.
All rights over the Content are reserved. It is prohibited to modify, copy, reproduce, publicly communicate, transform or distribute, in any form and by any means, all or part of the Content, for public or commercial purposes, without the prior, express and written authorisation of Kimetai or, where applicable, of the owner of the corresponding rights.
The User's access to and browsing of the Website shall in no case be understood as a waiver, transfer, licence or assignment, in whole or in part, of the aforementioned rights. Accordingly, it is not permitted to remove, circumvent or manipulate copyright notices or any other identifying data of the rights of Kimetai or their owners, nor the technical protection devices that the Content may contain.
The use of the Content, in whole or in part, for the training, fine-tuning or evaluation of machine learning models or artificial intelligence systems is likewise prohibited, as is its systematic extraction or reuse by means of web scraping or similar techniques, without the prior, express and written authorisation of Kimetai.
10. Links
10.1. Links from the Website to other websites
Kimetai may provide links, directly or indirectly, to Internet resources or websites outside the Website. The presence of these links is for informational purposes and does not constitute, in any case, an invitation to contract the products or services offered on the destination pages, nor does it imply the existence of any commercial link or relationship of dependence with the entity that owns the linked website. Kimetai has neither the capacity nor the human or technical means to know, control or approve the information, content, products or services provided by such websites, and therefore assumes no liability for any aspect relating to them.
However, should Kimetai become effectively aware that the activity or information linked to is unlawful, constitutes a criminal offence or may damage the property or rights of third parties, it shall act with the necessary diligence to remove or disable the corresponding link as soon as possible. Likewise, if the User becomes effectively aware of the unlawfulness of activities carried out through third-party websites linked from the Website, they must report it to Kimetai at info@kimetai.com.
10.2. Links from other websites to the Website
The establishment of links to the Website from third-party pages shall require the prior, express and written authorisation of Kimetai, except for links to the home page made in an absolute and complete manner, without reproducing the Website by means of frames or similar techniques, and without stating or suggesting that Kimetai has authorised, sponsors or supervises the page from which the link is established. In any event, it is prohibited to establish links from pages containing unlawful, degrading or obscene materials, information or content or which, in general, contravene applicable law, public order or the legitimate rights of third parties.
11. Protection of personal data
The processing of personal data provided by the User through the Website — in particular, through the demo request or early access forms — shall be carried out in accordance with Regulation (EU) 2016/679 (GDPR), Spanish Organic Law 3/2018, of 5 December, on the Protection of Personal Data and the guarantee of digital rights, and other applicable regulations, under the terms described in the Privacy Policy published on the Website, which the User must read before providing any data.
12. Cookies
The Website seeks to minimise the use of cookies and similar technologies. Information on the cookies used, their purpose and how to configure or disable them is set out in the Cookie Policy published on the Website.
13. Term and modification
Kimetai reserves the right to modify this Legal Notice whenever it deems appropriate, in particular as a result of technical, operational, business or legal changes. Modifications shall be valid and take effect from their publication on the Website. The temporal validity of this Legal Notice therefore coincides with the period of its display, until it is modified in whole or in part, at which time the modified version shall take effect.
14. Communications
The User may contact Kimetai at the postal address indicated in clause 1, or by email at info@kimetai.com.
15. General provisions
The headings of the various clauses are for information purposes only and shall not affect, qualify or modify the interpretation of this Legal Notice.
In the event of any discrepancy between the provisions of this Legal Notice and the particular conditions that may be established in respect of the products or services offered by Kimetai, the particular conditions shall prevail.
If any provision of this Legal Notice is declared null and void or unenforceable, in whole or in part, by any competent court, tribunal or administrative body, such nullity or unenforceability shall not affect the remaining provisions, which shall retain full validity and effect.
The failure of Kimetai to exercise or enforce any right or provision contained in this Legal Notice shall not constitute a waiver thereof, unless acknowledged and agreed in writing by Kimetai.
16. Applicable law and jurisdiction
This Legal Notice and any relationship arising from access to and use of the Website shall be governed by Spanish law.
For the resolution of any dispute that may arise from access to or use of the Website or from the interpretation of this Legal Notice, Kimetai and the User, expressly waiving any other jurisdiction to which they may be entitled, submit to the exclusive jurisdiction of the Courts and Tribunals of the city of Madrid (Spain).
